Giving Away the Farm—Why Material Transfer Agreements Matter in a University Setting

Please join us in the latest installment of the F.I.R.E. (For Inventors, Researchers, and Entrepreneurs) Series.

You need a chemical compound for the research you are conducting. The company that owns the material agrees to provide it to you free of charge. All you need to do is sign the Material Transfer Agreement (MTA) that they provide. It seems like a reasonable arrangement, so you send off the signed agreement. What you didn't realize was that the agreement prohibits you from publishing your findings, sharing your results with peers, or continuing your research efforts. Everything you discovered and had hoped to discover in the future now belongs to the company who provided you with their compound "at no cost." Our conversation this month explores what you need to look for—and what you need to look out for—in that seemingly innocent MTA.

Our presenter this month will be J. Gibson Lanier, Ph.D., J.D. from Ballard Spahr Andrews & Ingersoll, LLP. Dr. Lanier is an associate in the Intellectual Property Department at Ballard Spahr.

Please note that this is a free event, but a minimal fee for parking will apply if necessary. Seating is limited, so we request that attendees kindly pre-register no later than Noon Tuesday, 10 November 2009 by calling 585.784.8856, or by emailing David Englert. Event parking will be available either in the Kornberg Lot, or in the parking ramp.

Refreshments will be provided before the presentation, but are not allowed within the auditorium.

Where: the Class of '62 Auditorium (CC G-9425)

High Tech Rochester presents the kickoff dinner for the 2009 Pre-Seed Workshop.

The PSW will include participants from multiple communities and research institutions, including the University of Rochester, Rochester Institute of Technology, UR Medical Center, the greater Rochester community and the Upstate New York region. We are looking for 60 high-powered and eager participants committed to teams pursuing innovative technologies in optics, software, energy, medical devices, etc.

About the Pre-Seed Workshop

PSW is a systematic approach to investigate very early stage ideas; assessing their potential as the foundation of a start-up business, licensing opportunity, or new product within an existing business. At the core is a unique, collaborative, hands-on workshop. Teams are created around a central technology, product or business idea and typically include a technology champion, a legal advisor, an industry expert, an MBA student and an experienced entrepreneur.

In the Workshop, the teams address fundamental questions that must be considered before starting up a company in a series of nine break-out sessions related to the technology, the market, the competition, the business potential, etc. Participants create an overall presentation of their idea and deliver it to a panel of experts. The expert panel then provides feedback on the merit of the opportunity.

The idea teams complete two, intense one-day sessions separated by one week of "homework." Session One will be held Friday, 13 November 2009, from 7:30 AM - 5:00 PM. A reception will follow immediately from 5:00 - 6:00 PM. Session Two will be the following Friday, 20 November 2009, from 7:30 AM - 5:00 PM. A reception will follow immediately from 5:00 - 6:30 PM.
