The Invention Disclosure Form is used to declare a discovery to
the Offices of Technology Transfer. Receipt of this form will put into motion the processes of
technology evaluation, market assessment, intellectual property protection, and invention reporting
to granting agencies. |

The Copyright Disclosure Form is used to declare a written
work (other than scholarly paper, article, or book) to the Offices of Technology Transfer.
Receipt of this form will put into motion the processes of market assessment, intellectual
property protection, and in some cases, invention reporting to granting agencies. |

Software Copyright Disclosure Form is used to declare
a proprietary software program to the Offices of Technology
Transfer. Receipt of this form will put into motion
the processes of market assessment, intellectual property
protection, and in some cases, invention reporting
to granting agencies. |

The One-Way Confidential Disclosure Agreement is a useful
document to ensure that confidential information shared by one party will not be exploited or
spread by the second party. In this example, it is the University of Rochester researcher
who is hosting a visitor from an outside entity. The agreement states that the visitor
acknowledges that information shared during his or her visit is confidential and should remain
confidential. The form could easily be modified to protect the interests of the other party
in the event of a visit by a University of Rochester researcher. |

The Two-Way Confidential Disclosure Agreement is a useful
document to ensure that confidential information shared between parties will not be exploited
or spread by either party. In this example, a University of Rochester Medical Center
researcher is sharing information with an outside entity in order to evaluate the usefulness
of a technology (or suite of technologies). The agreement states that both parties may be
sharing proprietary information and that anything discussed that relates to the technolgy
is to be treated as confidential by both parties to this agreement. |

A Material Transfer Agreement (MTA) is required whenever there is an exchange of Tangible Research Property (TRP) between two parties. An MTA is a legally binding contract outlining how the transferred materials may and may not be used. Without an MTA in place, the transferred materials can be treated as a gift, and may be used in any way the receiving party wishes. Therefore, it is vitally important that an MTA be put in place before any materials are sent or received. Material Transfer Agreements are handled and negotiates through the Office of Research and Project Administration. |
