What is a Confidential Disclosure Agreement?
A. A CDA is an agreement that specifies the rights
and duties governing the transfer of confidential information from one
party to another, or between parties. It is a means by which parties
may discuss confidential information openly, without the concern that
any proprietary information will be improperly used.
As with Material Transfer
Agreements, a CDA is a binding legal document. By placing
your signature upon it, you are agreeing to abide by the terms and conditions
described in the agreement. Carefully read a CDA before signing it and
make sure that you understand all of the requirements.

Why is this necessary?
A. Any information that is disclosed without a CDA
in place is free for anyone to use. A CDA will provide restrictions
and conditions for how the information may be utilized.
